Citeaxis is a product of Turing LLC, a Wyoming limited liability company (“Citeaxis”, “we”, “us”). We help companies scope, generate, and ship AI agents, pipelines, and automations: a guided project chat that turns a brief into a priced proposal, a Blueprint that turns the scoped project into a verified code base, and expert work by our engineers to take it to production. These Terms of Service (“Terms”) govern your use of https://citeaxis.io, the members area at https://citeaxis.io/app, the project chat, proposals, Blueprints, plans, one-time purchases, expert work, statements of work, and related services (together, the “Service”).

By visiting the site, submitting a contact form, creating an account, joining an organization, creating a project, unlocking a Blueprint, subscribing to a plan, buying expert work, or signing a statement of work, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

The Service is for businesses and professionals. If you act on behalf of a company, you represent that you are authorized to bind that company, and “you” means the company. You must be at least 18 years old.

We may update these Terms. The “Last updated” date will change, and for material changes we will post a notice on the site or email the organization owner before the change takes effect. Continued use after the effective date means you accept the revised Terms. A signed statement of work prevails over these Terms for the work it describes.

Citeaxis combines AI and senior engineers. AI drafts the scope, the proposal, and the first version of the code; our engineers review, price, verify, and, when you order it, take the system to production. The price and timeline that bind us for any particular project are the ones in the proposal, checkout, or statement of work you accept.

The Service has three layers. The project chat and the proposal help you decide what to build and what it should cost. The Blueprint is a generated, sandbox-verified code base with its manual and the stack decisions behind it. Expert work is time from our engineers, ordered per item from the Production tab of a project, to adapt, deploy, integrate, and operate the system in your environment.

A conversation, a proposal, a preview, or a Blueprint is not a production deployment and is not a commitment to deliver production work unless you order that work and we accept it.

You sign in with an email and password, or with a Google or Microsoft account. Passwords must meet the rules shown at sign-up, and we require you to verify your email before you use the members area. You are responsible for keeping your credentials, your inbox, and the devices you stay signed in on under your control, and for everything that happens under your account. Tell us at once if you suspect unauthorized access.

Work in Citeaxis happens inside an organization. The person who creates an organization is its owner. Owners and managers may invite people by email, assign the roles the product offers (owner, manager, supervisor, member), change the organization’s profile (name, country, sector, size, website), and manage its plan and billing. Members of an organization can see the projects, conversations, proposals, Blueprints, and purchases of that organization according to their role. You are responsible for who you invite and for removing people who should no longer have access.

Organization details drive how we bill you: the country you set determines the billing currency, and the taxes that apply. Keep them accurate.

The administration console used by Citeaxis staff is not part of your account. Attempting to access it, or another organization’s data, is a breach of these Terms.

A project starts with a chat. An AI intake agent asks about your goal, your data, your systems, and your constraints; the answers are passed through our Quote Manager, which estimates hours, team, timeline, price, and a twelve-month return, and produces a proposal with one or more packages (for example Core, Recommended, and Complete). You may download the proposal as a PDF and send it to the recipients you name.

Proposals are estimates prepared from the facts you gave us, in your words. They are not offers to contract for the production work. Hours, timelines, and return-on-investment figures are informed projections, not guarantees, and they depend on assumptions the proposal states. A proposal becomes binding only when you order the corresponding work at the price shown at checkout or sign a statement of work referencing it, and we accept.

Do not paste secrets, payment card numbers, government identifiers, health records, or other special-category personal data into the chat. The intake needs business facts, not credentials.

After the project is scoped and you have answered the stack questions, the Blueprint pipeline plans the production stack for your project, domain by domain, and produces a first version you can preview: a file tree, the stack decisions, and a limited number of readable files. Planning and previewing are free. To unlock the full Blueprint you either use a project included in your Free tier or plan, or pay the one-time price shown in the project. That price is computed from the model tokens the generation consumes, multiplied by the factor in force at the time, and is displayed before you pay.

Once unlocked, we generate the complete code base, run it in an isolated sandbox (dependency install, type check, build, and lint), attempt automatic repairs, and deliver a zip together with a MANUAL.md that describes the stack, how to run it, and any known issues. Verification means the sandbox steps passed at the time we ran them; it does not mean the code is fit for your production environment, secure for your threat model, or compliant with your industry rules. You must review generated code before you deploy it.

Each project includes a number of regenerations at no charge (the number is shown in the project) so you can change a stack decision after the first version. Regenerations beyond that quota, or regenerations that require more tokens than the original, may carry the price shown at the time.

Generated code may include open-source dependencies under their own licenses. The manual lists them where possible; you are responsible for complying with those licenses. The Blueprint also embeds no Citeaxis secrets: you provide your own API keys and infrastructure when you deploy it.

Refunds for a paid Blueprint. You may request a full refund, in the chat or by email, at any time before the Blueprint reaches the ready state. Once the zip is available for download there is no refund. While the purchase stands, the amount you paid is credited in full against expert work you order in the Production tab of the same project. If a payment is refunded or disputed, the credit is void and downloads stop.

Every organization starts on the Free tier, which includes a fixed number of projects in total (the current number is shown at /app/billing). A project counts when it is created. Blueprints for projects within your allowance are unlocked at no charge.

Paid plans (currently Starter, Team, and Business) include a quota of projects per billing period, or unlimited projects, as shown on the plan. Plans are billed monthly in advance, in USD or, for organizations based in Brazil, in BRL, at the price shown when you subscribe plus applicable taxes. Prices for a new period may change with at least thirty days’ notice; the change applies from your next renewal. Quotas reset with each billing period and unused projects do not carry over.

You manage your plan in the Stripe Customer Portal linked from /app/billing: change plan, update the card, or cancel. Cancellation takes effect at the end of the current period; you keep the plan’s allowance until then. Upgrades apply immediately. Except where the law requires it, fees for a period already started are not refunded. If a renewal payment fails, we retry and notify you; your organization remains on the plan for a short grace period, after which it returns to the Free tier and any project beyond the free allowance requires a plan or a one-time payment to unlock.

Projects you created and Blueprints you unlocked remain yours after a downgrade or cancellation; you can still open, download, and archive them.

The Production tab of a project lists the expert items our engineers recommend for that system: hours to adapt, integrate, deploy, harden, or operate it. Each item is a one-time purchase at the price shown, paid through Stripe, and any standing Blueprint credit for that project is applied first. After payment we schedule the work with you.

Expert work is refundable on request until the work starts. Once started, it is billed as delivered and is not refundable, except as a statement of work provides or the law requires. Where a larger engagement is needed, we will send a statement of work that fixes scope, milestones, acceptance, and payment terms; that document governs the work it describes.

Expert work is performed in your environment (your repositories, cloud accounts, and services) or in environments we set up on your behalf and hand over to you. You provide the access needed, in time, and remain responsible for the accounts, costs, and data in those environments. Delays caused by missing access, decisions, or content extend our timelines accordingly.

On payment for expert work, you own the custom deliverables we produce for you, subject to the open-source licenses of the components they include. We retain ownership of our internal tools, prompts, pipelines, skills, templates, and know-how, and may reuse general techniques and non-identifying learnings on other projects.

You keep ownership of everything you put into the Service: briefs, chat messages, stack answers, documents, organization details, and any data or code you give us for expert work (“Your Content”). You grant Citeaxis a worldwide, non-exclusive, royalty-free license to host, copy, process, and transmit Your Content solely to provide, secure, support, and improve the Service for you, including sending it to the AI model providers we use to generate proposals and code.

You represent that you have the rights and, where personal data is involved, a lawful basis to give us Your Content, and that it does not infringe anyone’s rights or violate any law or agreement. You are responsible for the accuracy of the facts you give the chat and for the instructions you give our engineers.

We treat Your Content and the outputs generated for you as confidential. We do not sell it, do not use it to train our own models, and do not share it with other customers.

Proposals, estimates, stack decisions, scenarios, and code produced by the Service are generated by AI models under our instructions and, where we say so, reviewed by our engineers. Generative models can produce output that is wrong, incomplete, outdated, insecure, or similar to output produced for someone else. You are responsible for reviewing outputs and deciding how to use them. Nothing in the Service is legal, tax, accounting, or financial advice.

As between you and Citeaxis, you own the outputs generated for your projects once you have unlocked or paid for them, and you may use the free first version to evaluate the project. We may produce similar outputs for other customers who give similar inputs, and no customer acquires exclusive rights in a technique, pattern, or stack recommendation.

Our AI model provider is currently Anthropic. We use their commercial API, whose terms do not allow the provider to train on the inputs we send. We may change providers; the Privacy Policy lists the processors in force.

The Service, including its software, design, prompts, agents, Blueprint pipeline, skills, documentation, and the Citeaxis name and logo, belongs to Citeaxis or its licensors and is protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for your organization’s internal business purposes as allowed by these Terms.

You may not copy, modify, resell, sublicense, or build a competing service from the Service; probe, scan, or test its vulnerabilities without written permission; reverse-engineer our prompts, pipelines, or tools; or use automated means to extract data from the Service beyond the exports the product offers.

If you send us feedback or suggestions, we may use them without obligation to you.

Our logo files at /brand may be used to refer to Citeaxis truthfully (for example, in a case study or a press mention). Do not alter them, imply endorsement, or use them as part of your own product identity.

Do not use the Service to build or run anything unlawful, deceptive, harassing, or harmful; to generate malware, spam, or unsolicited communications; to infringe intellectual-property or privacy rights; to process others’ personal data without a lawful basis; to circumvent quotas, prices, or access controls; or to impersonate any person or business. Do not upload or paste content you are not allowed to share.

Do not use the Service to build systems whose primary purpose is to make automated decisions with legal or similarly significant effects on individuals (credit, employment, housing, health) without human review, or systems that are prohibited under the AI laws that apply to you. You remain the operator of whatever you deploy and are responsible for the disclosures, consents, and controls your use case requires.

We may throttle, suspend, or terminate access that violates these Terms, threatens the security or integrity of the Service, exposes us to legal risk, or abuses the free allowances. Where reasonable we will notify you first and give you a chance to fix the issue.

Payments are processed by Stripe under Stripe’s terms; we never see or store full card numbers. Sign-in with Google or Microsoft is governed by those providers’ terms. Code you generate may depend on open-source packages and on third-party services you choose (cloud, database, model providers), under their own terms and prices, which you agree to directly with them.

We are not responsible for third-party services, their availability, or their changes. Where a third party discontinues or materially changes a service we rely on, we may substitute an equivalent one.

You may stop using the Service at any time. An organization owner may cancel the plan in the Customer Portal and may ask us to close the organization and delete its data by emailing contact@citeaxis.io. Closing an organization ends the access of all its members.

We may suspend or terminate your access for breach of these Terms, for non-payment after notice, or if required by law. We may discontinue the Service or a feature with at least thirty days’ notice, except where a security or legal reason requires less.

On termination your right to use the Service ends. For thirty days after termination you may request a copy of your proposals and unlocked Blueprint zips, unless the termination was for a breach that makes that inappropriate. Sections that by their nature should survive (payments owed, ownership, confidentiality, disclaimers, liability, indemnity, governing law) survive termination.

The Service, including proposals, estimates, Blueprints, and expert work, is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted operation, except as a statement of work expressly states. We do not warrant that generated code is error-free or secure, that a system will achieve the return, savings, traffic, or revenue a proposal projects, or that models, platforms, and third-party services will not change.

Some jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions the exclusions above apply to the fullest extent permitted.

To the fullest extent allowed by law, Citeaxis and its members, officers, employees, and contractors are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or the cost of substitute services, arising from or related to the Service, however caused and under any theory of liability, even if we were advised of the possibility.

Our total liability for all claims relating to the Service in any twelve-month period is limited to the greater of the fees you paid us for the Service in the three months before the event giving rise to the claim and USD 100. For expert work under a statement of work, the cap is the fees paid for that statement of work unless it says otherwise.

These limits do not apply to liability that cannot be limited by law, including for fraud or willful misconduct. Some states and countries do not allow certain limitations; in those places our liability is limited to the maximum extent permitted.

You will defend and indemnify Citeaxis against third-party claims, and the reasonable costs of them, arising from Your Content, the facts and instructions you give the Service or our engineers, the systems you deploy and how you operate them, your violation of law or of these Terms, or the acts of members you invited, except to the extent caused by our willful misconduct.

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules, and by the United States federal law that applies. Before filing a claim, each side agrees to send the other a written description of the dispute and to try in good faith to resolve it within thirty days.

If we cannot, the state and federal courts located in Sheridan County, Wyoming have exclusive venue, and each side consents to their jurisdiction, except that either side may seek injunctive relief in any competent court to protect its intellectual property or confidential information. Where consumer-protection law in your country of residence grants you mandatory rights or a local forum, nothing in this section removes them.

Claims must be brought within one year of the event giving rise to them, where the law allows such a limit.

These Terms, the Privacy Policy, the prices and descriptions shown at checkout, and any statement of work are the entire agreement between you and Citeaxis about the Service and replace prior discussions. If a provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to an affiliate or a successor in a merger, acquisition, or sale of assets, with notice.

We are not liable for delays or failures caused by events beyond our reasonable control, including outages of model providers, payment networks, or hosting, provided we take reasonable steps to mitigate.

Notices to you are sent to the email on your account or the organization owner’s email, or posted in the Service. Notices to us go to the addresses in the first section.
